History of Property
Because the Property was assembled under the threat of eminent domain, it would be nearly impossible to duplicate it today. The Property encompasses part of the former village of Scottsville, Pennsylvania. It was acquired by a power company in the late 60's and early 70's for a nuclear power plant that was never built. The land remained vacant and undeveloped.
Susquehanna River (the "River") Frontage. The Property, as per a 2004 survey, has a riparian meander distance of 9,672 feet (approximately 1.83 miles) of frontage along the southwesterly side of the Susquehanna River with multiple locations for boat launches or development.
Potential Good Deposits of Gravel, Shale, Sand, and Pennsylvania Bluestone. Timber Reserves. Working Farmland.
Comes with wind, water, solar rights included plus all minerals.
Summary Description
Gas rights will be sold separately from surface land. A deed restriction will prohibit gas related surface appurtenances on the Property.
The Property is approximately two miles from the Auburn Gathering System to the East, approximately 6-7 miles from the Tennessee Pipeline to the North, approximately 30 miles from the Transco pipeline to the South, and approximately 10-12 miles from the Williams Springville Gathering line to the East.
The Property is located in Northeastern Pennsylvania, Northwest Wyoming County, in Windham and Mehoopany Townships in the former town of Scottsville, PA and fronts the Susquehanna River on North and Scottsville Road on the South. It is in the heart of the three-county Northeast Pennsylvania Marcellus shale play consisting of Northwest Wyoming County, Bradford, and Susquehanna Counties. The acreage is in a potential sweet spot of the Northeast Pennsylvania Marcellus, and has abundant potential onsite and nearby shale gas for industrial operations. The Property is located in the Range Resources Marcellus Gas "Super-Rich" core, the Chesapeake Energy Marcellus Gas "Core of the Core" and within a few miles from some of the highest producing shale gas wells in Pennsylvania. The Property is approximately 1 mile from Route 6, 60 miles from Interstate 80 to the South, and 30 miles from Interstate 81 to the East.
Abundant On Site and River Water Supplies
Abundant groundwater is available on site as well as water from the River. Water withdrawal for irrigation and other purposes from the River is subject to rules and regulations of the Susquehanna River Basin Commission (SRBC) for industry.
Great Potential for Surface Development: The surface is accessible for development and can be utilized for a manufacturing industrial park, a gas-fired power plant, gas-to-liquids processing plant, a petrochemical complex, and one or more energy intensive manufacturers. Windham, Mehoopany and Meshoppen Townships, in Wyoming County where the Property is located, have no zoning and revert back to Wyoming County for their zoning. Proctor & Gamble ("P&G") has a major facility less than two miles away that is now energy self sufficient ) and P&G is or will be soon exporting natural gas via the Auburn Gathering System (pipeline) into the Tennessee Pipeline plus they plan on installing the only fast-fill CNG station in the region to replace more than 400,000 gallons of diesel. Third, the Commonwealth of Pennsylvania may provide major incentives to bring industry there. See the $1.7 billion in estimated tax breaks the state offered Shell Oil Company for its proposed gas cracker plant in Beaver County, PA, that will convert ethane into chemicals to make plastic products. Interstate 81 is 30 minutes to the east and can be reached from U.S. 6. Interstate 80 is 60 miles south and intersects I-81. There is a manufacturing resurgence in the United States based in part on inexpensive and abundant shale natural gas. For example, there is $90 billion in infrastructure buildout planned for natural gas export in Louisiana based upon the track record of shale fracking (see ). On a much smaller scale but closer to the Property in Bradford County, Pennsylvania (25 miles from the Property) REV LNG, Inc., has is seeking approval from the local planning commission to build a liquefied natural gas (LNG) producing facility in Herrick Township, PA. The plant would produce fuel for 18-wheel trucking fleets, and REV LNG, Inc. has received an $800,000 grant from the state Department of Environmental Protection. See article here: These are examples of how industrial development can occur where large volumes of shale gas and an extensive pipeline transportation network co-exist.
The Property and Its Location in the Range Resources "Super-Rich" Core and the "Chesapeake Energy ('CHK') Core of the Core": The 256.453 /- acres of land plus the 40.29 acre island in Northwest Wyoming County, in Northeastern Pennsylvania (the "Property") are in the heart of the three-county Northeastern Pennsylvania Marcellus shale play consisting of Northwest Wyoming, Bradford and Susquehanna Counties. The acreage is in a potential dry gas sweet spot of the Northeast Pennsylvania Marcellus. In Chesapeake Energy's October 2013 investor presentation, they describe the area in Northwest Wyoming County, Pennsylvania as part of the "CHK Core of the Core" for Marcellus Shale Dry Gas (see attached map titled Northern Marcellus) and the Property is located in the Range Resources "Super-Rich" core (see red shaded areas in attached map titled "Gas in Place (GIP) - Marcellus Shale"). Most of the top 25 wells in Wyoming County, Pennsylvania are within a few miles of the Property and for their reported production as of February 2014 PA DEP data, see attached Top 25 Wells in Wyom Cnty. Cabot Gas & Oil recently upgraded its average Expected Ultimate Recovery ("EUR") per well from 14 billion cubic feet ("BCF") to a possible 20 BCF for its northeast Pennsylvania wells.
Nearby Pipelines: Several major pipelines are nearby and multiple new pipelines and expansions of existing pipelines are being constructed to dramatically increase the takeaway capacity of the Northeastern Pennsylvania Core Marcellus. The Property is approximately two miles from the Auburn Gathering System to the East, approximately 6-7 miles from the Tennessee Pipeline to the North, approximately 30 miles from the Transco pipeline to the South, and approximately 10-12 miles from Williams Springville Gathering Line to the East. The newly proposed Williams Atlantic Sunrise Expansion pipeline will also travel through Wyoming County. The proposed PennEast Pipeline will travel from Luzerne County, to the South and East, and continue 100 miles into New Jersey with a takeaway capacity of nearly 1 BCF (Northeast Pennsylvania Business Journal, Oct 2014 "Proposed interstate natural-gas pipeline open season closed Aug. 29 with nearly 1 Bcf of committed capacity"). Multiple additional pipelines are under construction. The Constitution pipeline will connect the Marcellus to New York and New England. Cabot and Williams Partners LP are building this 120 mile pipeline. Williams also plans to take more Pennsylvania gas on its Transco lines through several projects. Spectra Energy Corporation has multiple projects in the Marcellus. Kinder Morgan Energy Partners LP is expanding its Tennessee pipeline constructing additional lines in Massachusetts.
New Transmission Line to Serve Marcellus Shale Power Generation Plants: PP&L Electric Utilities, Inc's $4-6 billion, 725 mile, 500 kV transmission line is designed to take electricity generated near Pennsylvania's booming shale gas region and deliver it to New York, New Jersey, and Maryland. Beyond the billions in initial construction costs, the project would encourage the building of more natural gas fired power plants, to replace coal-fired ones. PPL said the project would increase reliability during periods of peak power demand and save hundreds of millions of dollars for customers. PJM Interconnection of Audubon, Pennsylvania, which oversees wholesale electric demand for 61 million customers in a 13-state mid-Atlantic region, has said that the electric grid is "undergoing an extraordinary transformation as coal-fired plants retire.
Wyoming County History, Geography, Geology, and Vegetation [The following excerpts are taken from A Natural Inventory of Wyoming County, Pennsylvania, 1995, by The Nature Conservancy.]
Wyoming County, an area of almost 400 square miles, is a rural county located in northeastern Pennsylvania. The Susquehanna River flows through the middle of the county from northwest to southeast and most development is concentrated within its corridor. The southwestern plateau is forested and mostly within state game lands; much of the rest of the county is given over to a mix of agriculture, forest and small villages. In 1990, the population of the county was just over 28,000 (1990 census) and appears to be growing. Both Scranton and Wilkes-Barre are within commuting distances of much of the county. Wyoming County is also approximately 150 miles from New York City and Philadelphia, allowing easy access for vacationers and tourists. The Endless Mountains, the lakes and creeks, and the pastoral scenery attract many people to the county; these natural qualities are important to both the economic and social well-being of county residents. Second home developments exist around Lake Carey and Lake Winola while hunting and fishing camps are found primarily in the southwestern corner. The rugged hills and forests of the southwest do not lend themselves to development or agriculture but they attract hunters, hikers, and winter sports enthusiasts. The many trout streams that drain this region attract fishermen while the forests of this region provide timber for the wood products industry. The Susquehanna River is a major recreational and scenic resource. Agriculture, although declining in acres, is still an important economic component of the county.
Glaciers have modified the landscape throughout the county. Deposits of rock, sand, clay and silt left directly by the glacier are called unstratified deposits or glacial till. Some of these deposits are as much as 300 feet thick. As a result of the glaciers, many of the soils that developed on till are too stony or wet for cultivation. Many wetlands have formed in the depressions that were the result of glacial scouring and the deposition of ice blocks (kettleholes), as well as glacial deposits that blocked drainage channels and altered stream flow. Stratified sands and gravels deposited by glacial meltwaters are located along many of the major rivers and creeks. The area known as Jayne Bend on the Susquehanna River is a glacial river terrace. Sand and gravel mining operations occur on some of the larger stratified deposits.
On a broad scale of vegetation patterns, Wyoming County is located within two major forest types Appalachian Oak Forest and Northern Hardwood Forest (Kuchler 1964, Bailey 1980). A broad band of Appalachian Oak Forest, somewhat analogous to Brauns (1950) Oak-Chestnut Forest, follows the Susquehanna River valley. The river, at elevations between 660 feet where it enters the county in the northwest and 580 feet as it leaves the county in the southeast, is much lower than the surrounding hills and mountains. Oaks predominate where the land has not been cleared on the well drained soils of the sand and gravel terraces and on the steep, south-facing slopes above the river. Black, red, white and chestnut oaks may be dominants or codominants depending on soil moisture and fertility. Other tree species include red maple, black cherry, gray and black birches, white pine, pitch pine, juniper and aspens. Shrubs include species of blueberries, huckleberries and other dry forest species. [The above excerpts were taken from A Natural Inventory of Wyoming County, Pennsylvania, 1995, by The Nature Conservancy.]
Island
The Property includes a 40.29 Acre Island in the Susquehanna River: The island is located a short distance by boat from the North shore of the 256.453 acre parcel. The Island parcel is part of a good-quality River Gravel Natural Community which actually includes a second island (also owned by Seller), both of which are separated by a narrow intermittent channel and the surrounding cobble/gravel bars in the river. Tall grasses (e.g. turkeyfoot (Andropogon gerardi) and switch grass (Panicum virgatum) and grape (Vitis riparia)) dominate the upstream side of the island, while the downstream side is forested. Hunting is excellent on the island.
Seller to retain gas and oil rights, but a deed restriction will prohibit any aboveground gas related appurtenances.

The arbitration hearing shall be held in a place chosen by the Seller in the Sellers sole and absolute discretion.
The arbitrators shall follow judicial formalities or the rules of evidence required by governing law. The law of Pennsylvania shall govern this arbitration to the fullest extent permitted by law, and all proceedings conducted by the arbitrators shall be held in Wyoming or Luzerne counties of Pennsylvania in the Sellers sole and absolute discretion.
The decision rendered by a majority of the arbitrators shall be final and binding on all parties involved in the arbitration. Such decision shall be a condition precedent to any right of legal action arising out of the arbitrated dispute which either party may have against the other. Judgment upon the award rendered may be entered in any court having jurisdiction thereof. Each party involved in the arbitration shall pay its own costs and attorneys fees, the fee and expenses of its own arbitrator, and one-half of the fee and expenses of the third arbitrator. All other expenses of the arbitration shall be equally divided between the said parties. Any action filed in order to enforce this Agreement, including an arbitration award will be filed solely in the courts located in Wyoming or Luzerne counties of Pennsylvania in the Sellers sole and absolute discretion.
The parties to any such arbitration agree, and the appointed arbitrators shall agree, as part of acceptance of nomination, to keep confidential and not disclose to persons not connected with the arbitration the details of the arbitration proceeding and all information received by them as may be required by process of law.
